Toolbase Pro End User License Agreement (EULA)

1. Introduction

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “You”) and Toolbase (“Company,” “We,” “Us”) governing your use of Toolbase Pro (“Software”). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, you must not install or use the Software.

2. License Grant

Toolbase Inc. grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your personal or business purposes, subject to the restrictions in this EULA.

2.1 License Types

  • Individual License: For personal use on a single device.
  • Business License: For commercial use within an organization, subject to the number of permitted users/devices.

3. Restrictions

You may NOT:

  • Modify, reverse engineer, decompile, or disassemble the Software.
  • Distribute, sublicense, or resell the Software.
  • Use the Software for any illegal or unauthorized purpose.
  • Remove or alter any proprietary notices or branding from the Software.

4. Ownership & Intellectual Property

The Software is licensed, not sold. Toolbase retains all ownership rights, intellectual property, and copyrights associated with the Software.

5. Data Collection & Privacy

Toolbase Pro may collect usage data for analytics and performance improvements, as described in our Privacy Policy. We do not collect personally identifiable information unless explicitly stated.

6. Updates & Modifications

We may release updates, patches, or new versions of the Software. Your continued use of the Software after an update constitutes acceptance of the modified terms.

7. Termination

This license is effective until terminated. Toolbase Inc. may terminate your license if you violate this EULA. Upon termination, you must cease using and delete the Software.

8. Disclaimer of Warranties

The Software is provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

Toolbase Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption, arising from the use or inability to use the Software.

10. Governing Law

This EULA is governed by the laws of Canada. Any disputes shall be resolved in the courts of Canada.
